Welcome to RyTech Limited DBA PalsHR ("We," "Us," or "Our"). By accessing or using our services ("Service"), you ("Customer," "User," "You," or "Your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use the Service.

3. Your Agreement with PalsHR

The "Service" includes all services PalsHR offers, such as our websites, blogs, applications, and related software. By using the Service, you agree to comply with and be bound by these Terms.

3.2 Modifications to Terms

PalsHR may modify these Terms at any time. We will notify you of significant changes via email notifications and update the Terms and Conditions page on our website. Continued use of the Service after such changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may terminate your account in accordance with the Termination section below.

4. Eligibility

Age Restriction: You must be at least 18 years old to use the Service.
Geographical Restrictions: The Service is available to users worldwide, except in jurisdictions where such use is prohibited by law.
Legal Capacity: By using the Service, you represent that you have the legal capacity to enter into these Terms.

5. Account Registration

5.1 Creating an Account

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

5.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@palshr.com of any unauthorized use of your account.

5.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in any activity that adversely affects the Service or other users.

6. Services Provided

Our flagship product is Peppy (The Celebration Bot) . Peppy is a Google Chat integrated bot that collects birthday and work anniversary dates from members in the Google Chat space it is added to. On these dates, it posts celebration messages to the same space.

Our other services include those mentioned above in “Services”.

7. Pricing and Payment

7.1 Pricing Structure

We operate a subscription-based service. Pricing is based on the number of active users or seats you have.

7.2 Billing Cycle

Monthly Subscriptions: Charged on a recurring monthly basis at the start of each billing cycle.
Yearly Subscriptions: Offered at a discounted rate and renew annually.

If your usage changes during your subscription period, we reserve the right to adjust your subscription pricing without further notice. You will be charged based on the average seat usage within the given billing month.

7.3 Free Trials and Usage Limits

We offer free trials and usage below certain limits is free. Specific details about free trials and usage limits can be found on our Pricing Page .

7.4 Refund Policy

We provide a 100% no-questions-asked money-back guarantee for up to 30 days after purchase. Additional refunds may be provided at our sole discretion. To request a refund, please contact us at support@palshr.com . No refunds will be issued for any unused portion of your subscription period beyond the 30-day guarantee.

7.5 Changes to Fees

We may modify our pricing and payment policies with at least 30 days' notice before the changes take effect. Notices will be sent via email and posted on our website. Up-to-date information can be found on the Pricing Page .

8. Use of Service

8.1 Acceptable Use

You agree to use the Service only for purposes that are permitted by these Terms and any applicable laws, regulations, or generally accepted practices.

8.2 Prohibited Activities

You must not:

Engage in any illegal activities or fraud.
Disrupt or interfere with the Service's functionality.
Attempt to gain unauthorized access to our systems.
Use the Service to transmit spam or unsolicited messages.
Share your account with others in a manner that avoids incurring fees

8.3 User-Generated Content

Any content you upload or generate using the Service remains your property. However, by using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and display your content as necessary to provide the Service.

Restrictions on Content:

You must not upload or generate content that is illegal, harmful, infringing, or otherwise prohibited.
We reserve the right to remove any content that violates these Terms or is deemed inappropriate.

User Responsibilities:

You are responsible for the accuracy and legality of the content you upload or generate.
You must ensure that your content does not infringe on the rights of any third party.

9. Intellectual Property

9.1 Ownership

All intellectual property rights in the Service, including software, designs, and content, are owned by PalsHR or its licensors.

9.2 License to Users

We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.

9.3 Restrictions

You may not:

Reverse engineer or decompile the software.
Create derivative works based on the Service.
Remove, alter, or obscure any proprietary notices.

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy . Please review our Privacy Policy to understand how we collect, use, store, and protect your data.

Data Collection: We collect names, email addresses, birth dates, work anniversary dates, and IP addresses.
Data Usage: We use the data to deliver the Service and provide it to a limited number of trusted third parties that help us deliver the Service.
Data Storage and Security: Data is stored on European servers of our cloud providers. We do not transfer data outside of the European Economic Area (EEA). All data is encrypted both in transit and at rest.
User Rights: Users can access, correct, or delete their personal data by contacting us at privacy@palshr.com .
International Data Transfers: We do not transfer data internationally. All data remains within the EEA

11. Termination

11.1 By You

You may terminate your account at any time through your account settings or by emailing support@palshr.com . Upon termination:

Access to the Service will cease at the end of the paid billing cycle.
We may delete your data unless required to retain it by law.

11.2 By Us

We may terminate or suspend your account immediately without notice if you breach these Terms or engage in prohibited activities. Upon termination:

Your right to use the Service will immediately cease.
We may delete your data as described above.

11.3 Effect of Termination

Termination does not relieve you of any obligations under these Terms incurred prior to termination.

12. Limitation of Liability

PalsHR, its affiliates, and licensors are not liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the Service. Our total liability to you for any claims under these Terms will not exceed the amount you have paid us in the past 12 months.

13. Indemnification

You agree to indemnify, defend, and hold harmless PalsHR and its affiliates, officers, agents, and employees from any claim, demand, loss, liability, including attorneys' fees, arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force. The seat of the arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

15. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

16. External Resources

The Service may contain links to third-party websites or resources, including Google Workspace. We are not responsible for the availability or accuracy of such external sites or resources and do not endorse and are not liable for any content, advertising, products, or other materials on or available from these sites or resources.

17. General Legal Terms

17.1 Entire Agreement

These Terms constitute the entire agreement between you and PalsHR regarding the use of the Service and supersede all prior agreements.

17.2 Waiver and Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Failure to enforce any right or provision does not constitute a waiver of such right or provision.

17.3 Force Majeure

PalsHR is not liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, governmental actions, power failures, or Internet disturbances. In the event of a force majeure, both parties agree to communicate promptly to mitigate the effects of such events.
